1. INTRODUCTION & ACCEPTANCE OF TERMS

1.1 CoachMi Platform CoachMi is a B2B2C sports technology platform that connects sports academies, coaches, parents, athletes, nutritionists, and tournament organizers. The platform provides tools for training management, progress tracking, performance assessment, meal planning, personal coaching, and tournament organization.

1.2 Binding Agreement

By accessing or using the CoachMi Platform (including the User App, Partner App, Web Admin Dashboard, and all associated services), you agree to be legally bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, you must immediately stop using the Platform.

1.3 Your Role on CoachMi As a user, you are one of the following: Different terms may apply to different user types. Where specific, the applicable section will be labeled.

Parent/Guardian: Managing student-athlete accounts and bookings Student-Athlete: Participating in academies, training, and assessments Academy Owner: Operating a sports academy and managing coaches/students Coach: Providing coaching services (academy or personal) Nutritionist: Providing meal planning and nutrition services Tournament Organizer: Managing sports tournaments and events

2. USER ELIGIBILITY

2.1 Age Requirements

You warrant that you are of legal age in your jurisdiction to enter into this agreement.

Accounts for students under 18: Must be created and managed by a parent or legal guardian Accounts for adults 18+: Must be created by the individual user Academy/Business accounts: Created by authorized representatives of the organization

2.2 Geographic Availability

CoachMi operates in India. Use of the Platform outside India may be subject to local laws. You are responsible for compliance with local laws in your jurisdiction.

2.3 Business Eligibility

If you are registering as an Academy Owner, Coach, Nutritionist, or Tournament Organizer, you must:

Be authorized to act on behalf of your organization Have all necessary licenses and permits required by law Maintain valid identification and business registration documents Comply with all applicable regulations and professional standards

3. ACCOUNT REGISTRATION & MANAGEMENT

3.1 Account Creation

To create an account: Provide accurate, current, and complete information Choose a secure password (minimum 8 characters) Verify your email address and phone number Accept these Terms and the Privacy Policy

3.2 Account Information Accuracy

You are responsible for maintaining the accuracy of your account information. Incorrect or outdated information may result in:

Service interruption Payment processing failures Inability to contact you about important updates

3.3 Account Security

You are solely responsible for: CoachMi will not be liable for unauthorized access to your account if you fail to protect your password or security information.

Keeping your password confidential Protecting your account from unauthorized access Notifying CoachMi immediately of any unauthorized use All activities under your account 3.4 Multi-User Academy Accounts Academy Owners may authorize other users (coaches, administrative staff) to access the academy account. The Academy Owner remains fully responsible for:

All actions taken by authorized users Maintaining coach and staff privileges Removing access for former employees or coaches Compliance with data protection and confidentiality

3.5 Single Coach Limitation

Each coach can be associated with only one academy at a time. If a coach needs to switch academies, the previous academy must release/remove them before they can be added to a new academy.

4. USER RESPONSIBILITIES

4.1 Lawful Use

You agree to use CoachMi only for lawful purposes and in compliance with all applicable laws, regulations, and these Terms. You specifically agree:

Not to engage in harassment, bullying, or abusive behavior toward other users Not to discriminate based on protected characteristics (race, religion, gender, caste, etc.) Not to share another user's personal information without consent Not to impersonate another person or misrepresent your identity Not to attempt to gain unauthorized access to CoachMi systems or other users' accounts 4.2 Content You Provide You are responsible for all content you upload, share, or create through CoachMi, including:

You represent and warrant that: Student photos and videos Training notes and observations Performance data and assessments Meal logs and nutritional information Tournament and match records All content is accurate, non-fraudulent, and non-defamatory You have the right to share this content (e.g., parental consent for student images) The content does not violate anyone's privacy or intellectual property rights The content complies with applicable laws

4.3 Health & Safety Responsibility

By using CoachMi's coaching, assessment, or nutrition services, you acknowledge:

These services are educational and informational, not medical treatment You are solely responsible for verifying the health and fitness of participants before physical activities Coaches, nutritionists, and CoachMi are not liable for injuries, illnesses, or health complications You will seek professional medical advice for any health concerns Parents/guardians are responsible for their student's health and safety during sessions

4.4 Beep Test & Fitness Assessments

The Beep Test and other fitness assessments on CoachMi: CoachMi is not liable for any injuries, illnesses, or adverse health effects resulting from participation in fitness assessments.

Are not medical evaluations Provide fitness estimates only with a margin of error Do not replace professional medical evaluation Should be conducted only with proper warm-up, supervision, and safety precautions Users with health conditions should consult a doctor before participating

4.5 Participation Confirmation

By booking and paying for a session (coaching, assessment, rental, nutrition), you confirm:

You intend to participate You are physically and mentally fit for the activity You have disclosed any relevant health conditions or limitations You understand the activity's risks Parents/guardians consent to their student's participation

5. ACCEPTABLE USE POLICY

5.1 Prohibited Activities

You must not: Harassment & Abuse: Send threatening, harassing, abusive, or offensive messages to other users Engage in cyberbullying or targeted harassment campaigns Discriminate or use slurs based on race, religion, gender, sexual orientation, caste, disability, or other protected status Share another user's personal information without consent Threaten or encourage violence against any person Fraud & Deception: Provide false, misleading, or fraudulent information Impersonate another person or organization Create multiple accounts to circumvent account limits or policies Use CoachMi to commit fraud, scams, or theft Misrepresent your qualifications (if offering coaching or nutrition services) Intellectual Property & Privacy: Reproduce, distribute, or share copyrighted content without permission Share another user's private data, photos, or videos without consent Reverse-engineer, decompile, or attempt to extract CoachMi source code Scrape, copy, or bulk-extract data from CoachMi without authorization Use CoachMi data for unauthorized commercial purposes Technical Abuse: Attempt to hack, crack, or gain unauthorized access to CoachMi systems Upload malware, viruses, or malicious code Interfere with or disrupt CoachMi services Use automated tools to scrape, spam, or crawl the Platform without permission Launch denial-of-service attacks or other cyberattacks Illegal Activities: Engage in any activity that violates local, national, or international laws Sell, trade, or distribute illegal substances or items through CoachMi Create, distribute, or possess child sexual abuse material (CSAM) Engage in human trafficking, exploitation, or abuse Facilitate illegal gambling or lotteries

5.2 Consequences of Violation

CoachMi may take action immediately, without notice, including:

Warning or suspending your account Permanently banning you from the Platform Reporting illegal activity to law enforcement Pursuing legal action to recover damages

6. PLATFORM FEATURES & SERVICES

6.1 ACADEMY MANAGEMENT FEATURES

6.1.1 Academy Onboarding & Subscription

Academy Owners can subscribe to CoachMi Partner App with the following features:

Academy subscriptions are not refundable once purchased. See Section 7 (Payment Policies) for complete billing terms.

Student and coach roster management Batch and class scheduling Attendance tracking Performance progress tracking Booking management (coaching sessions, rentals) Assessment tools (Beep Test, learning pathway assessments) Video content library Leaderboards and rankings Parent communication portal

6.1.2 Coach Management

Academy Owners can: Coaches remain employees or contractors of the Academy Owner, not CoachMi. CoachMi is not liable for disputes between Academy Owners and Coaches.

Onboard coaches and assign them to specific locations/batches View coach profiles, certifications, and achievements Monitor coaching sessions and athlete progress Remove coaches' access (immediately or after notice period) Generate performance reports per coach

6.1.3 Student Enrollment & Progress Tracking

Academy Owners can: Enroll students in batches and programs Track attendance and progress View fitness assessments and performance data Generate progress reports for parents Manage student suspensions or removals

6.1.4 Batch-Based Coaching Sessions

Academy-based coaching (provided by Academy Coaches through the Partner App):

Pricing set by Academy Owner (variable by program/batch) Charged to parent/student on a per-session basis 2-hour cancellation window for user refunds Refunds processed within 7 business days minus transaction charges No refund if user does not cancel 2+ hours before session No refund for no-show (user forfeits payment)

6.2 PERSONAL COACHING FEATURES

6.2.1 Personal Coach Onboarding

Coaches can opt into the Personal Coaching side business by:

Submitting intro video (1080x1080, 20-30 sec, MP4/MOV) Completing profile (auto-filled from academy profile) Setting coaching preferences (location, travel radius) Creating availability calendar (60-min slots, default 10 AM-7 PM) Awaiting admin approval (24-48 hours)

6.2.2 Personal Coach Subscription

Free trial: 90 days from activation Subscription fee: Rs. 199/month (starting Day 91) Auto-renewal: Monthly on the same date Cancellation: Anytime, no refund for partial month

6.2.3 Personal Coaching Booking

Parents/students can: View coach profile, certifications, video, ratings, and availability Book single session (Rs. 500) OR Subscribe to weekly plan (Rs. 1,000/week, 2 sessions/week) OR Subscribe to monthly plan (Rs. 4,000/month, 8 sessions over 4 weeks)

NO CANCELLATION POLICY FOR PERSONAL COACHING:

Once booked and paid, personal coaching sessions CANNOT be cancelled by the user No refunds for cancellations, schedule conflicts, or no-show Rescheduling negotiated with coach directly (outside CoachMi) Coach may cancel per their own policy Payment goes directly to coach, settled instantly

6.2.4 Personal Coaching Payments

Payment processed via Razorpay Funds transferred instantly to coach's account Transaction charges (2.5-3.5%) deducted from payment Coach receives net amount after charges CoachMi not liable if payment fails to reach coach

6.3 BEEP TEST & FITNESS ASSESSMENTS

6.3.1 Beep Test Overview

The Beep Test is a standardized, non-motorized running test measuring aerobic fitness:

Protocol (All Racket Sports): Standard VO2max Formula (Leger Formula): Distance: 20 meters Starting speed: 8.0 km/h Increments: +0.5 km/h per level (Level 2 onwards: +1.0, then +0.5) Maximum level: 21 at 18.0 km/h Beep frequency: Triple beep (start/level change), then single beep at each shuttle Duration: ~60 seconds per level VO2max = 31.025 + 3.238(Speed) - 3.248(Age) + 0.1536(Speed x Age) Speed = 8.0 + (Level-1) x 0.5 km/h

6.3.2 Coaches Running Beep Tests

Coaches (Partner App) can: Select multiple athletes at once Run live tests using audio beep signals Mark athletes out during test Calculate VO2max and fitness categories Generate and share results with parents Track historical test progress

6.3.3 Fitness Assessment Disclaimer

By using CoachMi's fitness assessments, you acknowledge: Assessments are not medical evaluations VO2max estimates have a margin of error (typically plus or minus 10%) Results do not diagnose medical conditions Only professional medical tests provide clinical assessment Assessments should be conducted with proper safety precautions and warm-up CoachMi is not liable for injuries or adverse effects from assessments

6.4 RENTAL BOOKING FEATURE

6.4.1 Court/Facility Rentals

Academy Owners can: Users can: List available courts, fields, or facilities for hourly/daily rental Set pricing per hour or per time slot Manage booking calendar Approve or reject rental requests View rental history and revenue Browse available rental slots Book and pay for facility rental Cancel within 2-hour window for refund

6.4.2 Rental Booking Terms

Pricing set by Academy Owner (variable) Payment collected upfront via Razorpay Transaction charges (2.5-3.5%) deducted GST deducted (if academy is GST-registered) Net payment transferred to Academy Owner Academy Owner can cancel within 2 hours for refund (minus charges) User cannot cancel (can only contact Academy Owner for rescheduling) No refund for no-show

6.5 MATCH PLAY & TOURNAMENTS

6.5.1 Match Recording

Coaches and Academy Owners can: Create match records for gameplay analysis Upload match videos (if available) Record match scores and results Track player performance metrics Generate match statistics

6.5.2 Leaderboards & Rankings

CoachMi may display: Individual player rankings by sport and age group Batch/team standings Tournament leaderboards Performance metrics and statistics

6.5.3 Match & Leaderboard Disputes

Results are provided on an informational basis CoachMi is not liable for inaccuracies in scores, rankings, or statistics Disputes about match results must be resolved directly between users Errors discovered after 7 days may not be corrected CoachMi reserves the right to modify rankings if data is found to be fraudulent

6.6 NUTRITION SERVICE

6.6.1 Nutrition Service Overview

CoachMi partners with licensed nutritionists to provide personalized meal planning and nutrition guidance.

Free Tier: Paid Tier: Meal logging and tracking (photo-based) AI-powered meal identification (plus or minus 15% accuracy) Macronutrient calculation (protein, fat, carbs, fiber, etc.) Nutritional insights and suggestions NO cost Everything in Free Tier, PLUS: Initial intake call (Zoom/Gmeet consultation with assigned nutritionist) Personalized meal plan (based on health data and goals) Daily adherence tracking Ongoing nutritional guidance Cost: Rs. 2,000 excluding GST (subject to change; price locked at purchase) Billing cycles: Monthly, Quarterly, Six-Monthly, or Annual

6.6.2 Nutrition Service Onboarding

For Users: For Nutritionists: Select paid nutrition plan and billing cycle Pay Rs. 2,000 upfront via Razorpay Complete health intake form (weight, BMI, allergies, blood reports, dietary preferences) Assigned nutritionist conducts intake call (48-hour SLA) Nutritionist creates personalized meal plan Plan approved and ready for daily tracking Licensed nutritionist profile (credentials verified) Assigned users based on availability Intake call scheduling (Zoom integration) Meal plan creation and approval Daily adherence monitoring and guidance Independent contractor status (not CoachMi employee)

6.6.3 NUTRITION SERVICE - NO CANCELLATION, NO REFUND POLICY

Payment is Final and Non-Refundable: User Responsibility: Nutritionist is Independent Contractor: Once purchased, nutrition plans CANNOT be cancelled NO refunds are issued for any reason, including: Change of mind before or after intake call Inability to follow the plan Dissatisfaction with meal plan or results Weight loss or muscle gain goals not met Nutritionist unavailability Delayed plan approval (beyond 48 hours) You are solely responsible for providing accurate health information (weight, allergies, medications, medical conditions) CoachMi is NOT liable for adverse health effects if you provide inaccurate information Meal plans are nutritional guidance only, NOT medical treatment If you have health conditions, consult your doctor before nutrition plans Not a CoachMi employee Maintains own professional liability CoachMi not liable for nutritionist error or misconduct Disputes with nutritionist resolved directly with them

6.7 VIDEO CONTENT & LIBRARY

6.7.1 Coach Intro Video

Personal coaches submit intro videos (1080x1080, 20-30 sec) for their profile. By uploading, you grant CoachMi:

Right to store the video indefinitely Right to display the video on coach profile Right to use video for promotional purposes (with written permission only)

6.7.2 Training Videos & Content Library

CoachMi may provide video libraries, tutorials, and coaching content. These videos:

You may not: Are for informational and educational purposes only May contain third-party copyrighted content (properly licensed) Are provided "as-is" without warranties May be removed or modified without notice Download, copy, or reproduce videos without permission Share videos outside CoachMi without permission Modify or remix videos Use videos for commercial purposes 6.7.3 User-Uploaded Video Content If you upload videos of students, matches, or training: You confirm you have consent from all participants (and parents if minors) You grant CoachMi permission to store and display the video You are responsible for copyright and privacy compliance CoachMi may remove videos that violate policies or laws

6.7.4 Video Storage & Deletion

Videos are stored indefinitely unless deleted by uploader Deleted videos are removed within 7 business days Backup copies may exist for a limited period (up to 30 days) CoachMi may permanently delete videos if account is terminated CoachMi is not liable for accidental deletion or data loss

6.8 RATINGS & REVIEWS

6.8.1 Coach & Service Provider Ratings

6.8.2 Review Posting Terms

Reviews must be: Reviews must NOT: Truthful and based on personal experience Free of profanity, slurs, or abusive language Free of false claims or defamation Free of private information (addresses, phone numbers, payment details) Contain harassment or threats Impersonate another user Contain competitor advertisements Be fraudulent or fake

6.8.3 Review Moderation & Removal

CoachMi may remove reviews that: Removal of a review does not constitute agreement with its content.

7. PAYMENT POLICIES & BILLING TERMS

Academy Subscriptions are non-refundable once purchased Personal Coaching sessions cannot be cancelled by users once booked Nutrition Service plans are completely non-refundable and non-cancellable Academy Coaching sessions have a 2-hour cancellation window for refunds Rental Bookings can only be cancelled by Academy Owners (2-hour window) Transaction charges (2.5-3.5%) apply to all payments and refunds All refunds processed within 7 business days

8. INTELLECTUAL PROPERTY RIGHTS

8.1 CoachMi Intellectual Property CoachMi retains all intellectual property rights in: You are granted a limited, non-exclusive, non-transferable license to use CoachMi for personal or business purposes as authorized by these Terms.

Platform code, design, and user interface Beep Test protocol and formula (based on standardized Leger Formula) Fitness assessment methodologies CoachMi branding, logos, and trademarks Learning pathway assessments and content Video content and training materials (where applicable) 8.2 User Content Ownership You retain ownership of: By uploading content to CoachMi, you grant CoachMi a perpetual, worldwide, royalty-free license to:

Photos and videos you upload Training notes and observations you create Student performance data you generate Meal logs and nutrition information you provide Store, display, and distribute the content on the Platform Use the content to improve services and analytics Share content with relevant stakeholders (parents, coaches, students) Use content for internal auditing and compliance

8.3 Content Attribution

When sharing user content (e.g., parent viewing student progress, coach viewing athlete assessments), proper attribution must be maintained (e.g., student name, date, event).

8.4 Third-Party Content

Some Platform content may be provided by third parties (sport organizations, video creators, etc.). Use of third-party content is subject to applicable licenses and terms.

9. LIMITATION OF LIABILITY

9.1 Disclaimer of Warranties

THE COACHMI PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

Warranties of merchantability or fitness for a particular purpose Warranties that the Platform will be uninterrupted, error-free, or secure Warranties that defects will be corrected or that the Platform will meet your expectations Warranties about the accuracy, completeness, or reliability of content or services Warranties about the qualifications or conduct of coaches, nutritionists, or other service providers

9.2 No Liability for Third-Party Services

CoachMi acts as an intermediary connecting users with service providers (academies, coaches, nutritionists, facilities). CoachMi is NOT liable for:

All disputes regarding service provider actions must be resolved directly with the service provider. CoachMi will facilitate communication but is not responsible for resolution.

Quality, conduct, or performance of coaches, nutritionists, or service providers Cancellations, rescheduling, or disputes with service providers Refund denials by service providers Negligence, misconduct, or violations of law by service providers Injuries, illnesses, or adverse effects during coaching, training, or assessments Allergic reactions to food or meals recommended by nutritionists Weight loss results, muscle gain, or other nutrition outcomes 9.3 No Liability for User Content CoachMi is not liable for: Accuracy or truthfulness of user-submitted data (student info, assessment results, video content) Violation of intellectual property or privacy rights by user-uploaded content Offensive, defamatory, or illegal content posted by users Loss of user data due to user error (e.g., account deletion, password loss)

9.4 Sports & Fitness Injury Disclaimer

CoachMi is NOT responsible for: Users assume all risks associated with physical activity and coaching. By using CoachMi, parents/guardians acknowledge:

Injuries sustained during coaching sessions, training, or fitness assessments Illnesses or medical complications arising from physical activity Inadequate supervision or safety precautions during activities Lack of proper equipment or facilities Participant's pre-existing health conditions or unfitness for activity Heat illness, dehydration, or other environmental hazards Mental health effects or trauma from sports activities They have assessed their student's fitness level They have disclosed all relevant health information They accept responsibility for safety during activities They will seek immediate medical attention for injuries or illness

9.5 Nutrition Service Disclaimer

CoachMi is NOT responsible for: Nutrition is NOT medical treatment. Meal plans are educational guidance only. If you have health conditions, consult your doctor before nutrition plans.

Nutritionist errors or negligence in meal plan creation Allergic reactions or adverse effects from recommended foods Lack of results (weight loss, muscle gain, improved energy) Nutritional imbalances or health complications from meal plans Nutritionist's independence as a contractor (not CoachMi employee)

9.6 Limitation of Damages

To the maximum extent permitted by law, CoachMi's total liability to you for any claim arising from or related to the Platform shall be limited to:

This limitation applies to all claims, regardless of cause or legal theory (contract, tort, negligence, etc.).

The amount you paid to CoachMi in the 12 months preceding the claim, OR Rs. 1,000 (One Thousand Rupees), whichever is greater

9.7 Exclusion of Consequential Damages

To the maximum extent permitted by law, CoachMi shall not be liable for:

Lost profits or revenue Lost data or files Lost business opportunities Indirect, incidental, special, or consequential damages Emotional distress, anxiety, or reputational harm

10. INDEMNIFICATION

10.1 User Indemnifies CoachMi You agree to indemnify, defend, and hold harmless CoachMi (including its founders, employees, agents, and service providers) from any claims, damages, liabilities, costs, or expenses (including attorneys' fees) arising from:

Your violation of these Terms or applicable laws Your use of the Platform Content you create, upload, or share Your disputes with other users or service providers Your injuries, illnesses, or adverse effects from Platform activities Intellectual property or privacy violations by your content False or misleading information you provide 10.2 Coaches Indemnify CoachMi Coaches and Nutritionists (as service providers) agree to indemnify CoachMi from claims arising from:

Their professional conduct or negligence Injuries or illnesses caused by their services Violation of professional standards or ethics Disputes with students or clients Non-compliance with applicable laws or regulations

11. DISPUTE RESOLUTION

11.1 Informal Resolution

Before pursuing formal legal action, you agree to attempt to resolve disputes through:

Direct communication with the other party involved CoachMi support mediation (if a third party is involved) Written complaints to CoachMi at admin@coachmi.in

11.2 Mediation

CoachMi may offer mediation services to help resolve disputes between users or with service providers. Mediation is:

Voluntary and non-binding Confidential Conducted by a neutral CoachMi representative Subject to a 30-day resolution timeline

11.3 Arbitration Clause

If mediation fails, both parties agree to resolve the dispute through binding arbitration under the Arbitration and Conciliation Act, 1996 (India), rather than court litigation.

Arbitration Details: Single arbitrator (for claims under Rs. 25 lakhs) or three arbitrators (for claims above Rs. 25 lakhs) Arbitration conducted in Mumbai, Maharashtra, India Language: English or Hindi (claimant's choice) Cost-sharing: Each party bears its own legal costs; arbitrator fees split equally Award is final and binding Limited appeal rights (as per Arbitration Act)

11.4 Governing Law

These Terms are governed by the laws of India, specifically the laws of Maharashtra state, without regard to conflicts of law principles.

11.5 Limitation Period

Any claim against CoachMi must be filed within 1 year from the date the claim arose. Claims filed after 1 year are barred.

12. TERMINATION & ACCOUNT SUSPENSION

12.1 User Can Terminate Anytime You can terminate your account anytime by: Termination Effects: Using the account settings option, OR Requesting termination at admin@coachmi.in Immediate loss of access to the Platform Immediate cancellation of subscriptions No refund for unused subscription time 30-day data export window (then deleted) Academic records transferred to Academy Owner (if applicable) 12.2 CoachMi Can Suspend or Terminate Accounts CoachMi may suspend or terminate your account immediately, without notice, if you:

12.3 Suspension vs. Termination

Suspension: Temporary; account frozen but data preserved; user may appeal Termination: Permanent; account closed and data deleted after 30 days; no appeal

12.4 Data Deletion After Termination

13. CHANGES TO TERMS

13.1 Right to Modify Terms

CoachMi reserves the right to modify these Terms at any time. Changes are effective:

Immediately upon posting (for non-material changes)

30 days after notice (for material changes affecting subscriptions or payments)

13.2 Notification of Changes

CoachMi will notify you of material changes via: Email to your registered email address In-app notification SMS (if enabled)

13.3 Acceptance of Modified Terms

Your continued use of CoachMi after changes are posted constitutes acceptance of the modified Terms. If you do not accept changes, you may terminate your account before the effective date.

15. MISCELLANEOUS

15.1 Entire Agreement

These Terms, along with the Privacy Policy and Payment Policies, constitute the entire agreement between you and CoachMi regarding the Platform. Any prior agreements or understandings are superseded.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid.

15.3 No Waiver

CoachMi's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without CoachMi's written consent. CoachMi may assign its rights to any third party without restriction.

15.5 Notices

All notices to you shall be sent to the email address registered with your account. Notices are deemed received 24 hours after sending.
